These Terms and Conditions ("Terms") are between you and Zero Day IT Solutions Inc. ("Zero Day IT," "we," or "us") and govern your use of the Zero Day IT website at zerodayit.ca, including the ZeroBot AI Security Advisor and the free security tools published on it (together, the "Website"). By using the Website you agree to these Terms. If you do not agree, please do not use the Website.

1. Our Services and Service Agreements

Zero Day IT provides managed IT services, managed detection and response, cybersecurity, cloud, network, backup and recovery, compliance, vendor professional services (design, deployment, and knowledge transfer), and related consulting. Scope, deliverables, service levels, fees, and liability for any engagement are set out in a separate written service agreement, statement of work, or quotation. Where these Terms conflict with such an agreement, the agreement prevails. Nothing on the Website is an offer capable of acceptance; descriptions and figures are illustrative until confirmed in writing.

2. ZeroBot AI Security Advisor

ZeroBot is an automated assistant powered by an AI language model. It is provided to help you understand security and IT topics and to learn about our services.

  • Information, not advice. ZeroBot's answers are general information. They are not a security assessment of your environment, and not legal, compliance, financial, or professional advice. Do not act on them without verifying with a qualified professional. No client or advisory relationship is created by using ZeroBot.
  • It can be wrong. AI models can produce inaccurate, incomplete, or outdated statements, including statistics. We do not warrant the accuracy of any ZeroBot output.
  • Emergencies. If you believe you are experiencing an active security incident, do not rely on ZeroBot. Call us at +1 (866) SOS-GEEK (767-4335).
  • What not to enter. Do not submit passwords, credentials, personal health or financial information, or confidential third-party data. How we handle chat messages is described in our Privacy Policy.
  • Fair use. We apply request limits and may suspend or restrict access to ZeroBot, without notice, to prevent abuse or to maintain availability.

3. Free Security Tools

Tools such as the security-score self-assessment, breach-cost estimator, compliance checklist, vendor-risk questionnaire, dark-web exposure check, and CVE watch are provided free of charge for educational purposes.

  • Results are estimates based on the inputs you provide and on public third-party data sources. They are not a vulnerability assessment, penetration test, audit, or compliance certification, and should not be relied on as one.
  • Third-party data (for example, public breach catalogues or vulnerability feeds) may be incomplete or delayed. We do not control and do not warrant it.
  • You may only query domains, systems, or information that you own or are authorized to assess.

4. Acceptable Use of the Website

You agree to use the Website lawfully and not to:

  • Attempt to gain unauthorized access to the Website, our systems, or our networks
  • Scrape, crawl, or extract content, or send automated requests to ZeroBot or the tools, without our written permission
  • Circumvent rate limits, abuse-prevention measures, or access controls
  • Upload or transmit malicious code or content designed to disrupt or damage systems
  • Use the Website for fraudulent, deceptive, or unlawful activity
  • Impersonate Zero Day IT, our personnel, or any other person

5. Intellectual Property

All content on the Website (text, graphics, logos, trademarks, software, tools, and design) is owned by or licensed to Zero Day IT and protected by applicable intellectual property laws. You may view and print pages for your own business evaluation. You may not otherwise reproduce, distribute, modify, or create derivative works from Website content without our prior written consent.

"Zero Day IT" and the Zero Day IT logo are trademarks of Zero Day IT. Names and logos of vendors and partners shown on the Website (such as Microsoft, Fortinet, Cisco, Palo Alto Networks, and Sophos) are trademarks of their respective owners and are used to identify the platforms we work with; their appearance does not imply endorsement of this Website by those companies.

6. Third-Party Links and Services

The Website links to third-party websites and relies on some third-party services (described in our Privacy Policy). We do not endorse, control, or accept responsibility for their content, availability, or practices. Your use of them is at your own risk and subject to their terms.

7. Disclaimer of Warranties

The Website, ZeroBot, and the free tools are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that any output will meet your requirements.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zero Day IT and its officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business, arising out of or related to your use of, or reliance on, the Website, ZeroBot, or the free tools, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from the Website is limited to one hundred Canadian dollars (CAD $100).

Liability for contracted services is governed exclusively by the applicable service agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless Zero Day IT and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Website.

10. Privacy

Our Privacy Policy explains how we collect and handle personal information, including ZeroBot messages and tool inputs, and forms part of these Terms.

11. Suspension and Changes to the Website

We may modify, suspend, or discontinue any part of the Website, including ZeroBot and the free tools, at any time without notice.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver, for any dispute arising from these Terms or the Website.

13. Changes to These Terms

We may update these Terms from time to time. The current version is always posted on this page with its "last updated" date. Continued use of the Website after changes are posted constitutes acceptance of the updated Terms.
